Arco — Terms of Service

Arco is provided by Arco Labs PH, based in the Republic of the Philippines ("we," "us," "our"). By using Arco ("Arco" or "the app"), you agree to these Terms.

The short version

1. What Arco is

Arco helps you record and understand your own spending, income, budgets, and accounts. It works offline and without an account. Optional sign-in exists only to sync your data across your own devices; it is not a public sharing or social feature.

2. Your account (optional)

If you create an account, you're responsible for the credentials you use to access it and for the activity under it. Tell us promptly if you believe your account has been accessed without your permission. You may sign out at any time, and you may request deletion of your account and its synced data (see Deleting your data below).

3. Fair use of the sync service

Arco's optional cloud sync is offered for normal, personal use by an individual tracking their own finances. To keep the service sustainable and fast for everyone, you agree not to:

To protect the service and its costs, we may apply reasonable limits (for example on data volume or request rate) and may throttle, suspend, or restrict sync for an account that materially exceeds normal personal use or appears automated or abusive. Where practical we may warn you first (though we're not obligated to), and this never affects the data already stored locally on your device — you can always continue using Arco offline.

5. Who owns your data

The financial data you put into Arco — your accounts, transactions, categories, budgets, recurring rules, and notes — is yours, and we don't claim any ownership of it. You grant us only the limited license we need to run the service for you: to host, store, back up, transmit, and display your data to your own signed-in devices, and to have our service providers do the same on our behalf solely for that purpose. We do not use your financial data for any other purpose, we do not use it to train AI or machine-learning models, we don't authorise our service providers to do either, and we never sell it. This license ends when you delete your account, apart from the residual copies described in Deleting your data.

Arco — its software, design, name, and branding — belongs to us and our licensors and is protected by intellectual-property laws. We grant you a personal, limited, non-exclusive, non-transferable, revocable license to install and use Arco on devices you own or control, for your own personal, non-commercial use, subject to these Terms. You may not copy, sell, rent, sublicense, or create derivative works from the app, or reverse-engineer it, except to the extent the law expressly allows. All rights not granted to you are reserved.

If you send us ideas, suggestions, or feedback, you grant us a worldwide, royalty-free, perpetual, and irrevocable license to use them for any purpose — including building and improving our products — without any obligation, attribution, or payment to you.

8. Third-party services

Arco relies on a few third-party services to work, described in the Privacy Policy: Supabase and PowerSync (optional cloud sync), Frankfurter / European Central Bank (exchange-rate data), and Sentry (crash and error diagnostics). We choose these carefully, but we don't control them and aren't responsible for their availability or for the accuracy of data they provide — for example, exchange rates are reference figures and may be delayed or imprecise. Your use of the app stores and operating systems Arco runs on is also subject to their own terms.

10. Acceptable use, and who can use Arco

Don't use Arco to break the law, infringe others' rights, or interfere with the app's operation or other users. You must be at least 18 years old (the age of majority in the Philippines) to use Arco. Arco is not directed to children, and we don't knowingly collect data from anyone under 18.

You also confirm that you are not located in, or a national or resident of, a country subject to comprehensive sanctions or embargo, that you are not on any government restricted-party or sanctions list, and that you won't use or export Arco in violation of applicable export-control or sanctions laws. You are responsible for complying with the laws of your own jurisdiction when you use Arco.

11. No financial advice; "as is"

Arco is a tool for organizing your own information. Its totals, budgets, charts, forecasts, and exchange-rate conversions are for informational purposes only and are not financial, investment, tax, or legal advice. You are solely responsible for the data you enter and for checking that it's accurate, and you should not rely on Arco's figures for any financial, tax, accounting, or legal decision; we are not responsible for decisions you make in reliance on them, or for any failure of sync, backup, notifications, or budget alerts.

To the maximum extent permitted by law, Arco is provided "as is" and "as available," without warranties of any kind — whether express, implied, or statutory, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, accuracy, and non-infringement. We don't guarantee that Arco will meet your needs, be uninterrupted, secure, or error-free, or that exchange-rate or synced data will always be accurate, complete, or available. We may modify, suspend, or discontinue features, or the app itself, at any time, without liability to you. These disclaimers apply only to the extent the law allows and are subject to the consumer-rights savings clause in Section 12 — nothing here removes rights that can't be waived under the Consumer Act (RA 7394) or the Data Privacy Act (RA 10173).

12. Limitation of liability

To the maximum extent permitted by law, and regardless of the legal theory (contract, tort, negligence, strict liability, statute, or otherwise), we won't be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of or damage to data (whether direct or indirect), loss of profits, revenue, goodwill, or business interruption — whether or not we were warned of the possibility. We do not guarantee that any data, including synced data, will be stored, retained, backed up, or recoverable, so keep your own backups of data that matters to you (Arco offers Export and Backup for this). If, despite the above, we are found liable to you, our total aggregate liability for all claims relating to Arco is limited to the greater of (a) the total amount you paid for Arco (whether to us or through an app store) in the 12 months before the event, or (b) US$50. These limits are an essential basis of our agreement and apply even if a remedy fails of its essential purpose.

Nothing in these Terms excludes or limits our liability for fraud or fraudulent misrepresentation, willful misconduct, gross negligence, or death or personal injury caused by our negligence, or any other liability that cannot lawfully be excluded — including under the Consumer Act of the Philippines (RA 7394), the Civil Code of the Philippines (including Articles 1170, 1171, and 1173), and the Data Privacy Act of 2012 (RA 10173). Subject only to the foregoing, the disclaimers and limits above apply to the maximum extent the law allows; if any of them is held unenforceable, it will be reduced to the minimum extent necessary and the rest will stay in full effect.

13. Indemnity

If your misuse of Arco — including breaching these Terms, abusing the sync service, infringing someone's rights, breaching your representations (including the age and export/sanctions ones above), or using Arco unlawfully — leads to a third-party claim against us or a loss to us, you agree to defend, indemnify, and hold us harmless from the resulting claims, damages, and reasonable costs and legal fees. We may take control of the defense, and you'll cooperate with us. This does not apply to ordinary, good-faith personal use of the app.

14. Changes to these Terms

We may update these Terms. For material changes we'll give reasonable notice before they take effect — noting them in the app and updating the "Last updated" date above — and, where a change materially affects your rights, we'll ask you to accept the updated Terms before you keep using features that need an account. Continuing to use Arco after the changes take effect means you accept them.

15. Termination

You may stop using Arco at any time. We may suspend, restrict, or end access to the sync service — with or without notice and without liability to you — if you breach these Terms (see Fair use), if we reasonably suspect abuse or a security risk, or if we discontinue the service; your data stored locally on your device isn't affected. If you are on a paid plan, any suspension or termination we make will be handled consistently with your refund and cancellation rights under the applicable app store's policy and applicable consumer law. 16. Governing law and disputes

These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-laws rules. Any dispute that can't be resolved informally will be brought exclusively in the proper courts of the City of Manila, Philippines, to the exclusion of all other venues — except where mandatory local law gives you the right to bring a claim elsewhere (for example, the courts of your own country of residence, or Philippine consumer-protection channels such as the DTI).
